Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Right On Call ("Right On Call", "we", "us", or "our"), a business based in London, Ontario, Canada. They govern your use of rightoncall.com and any related pages (the "Site"), your submission of information through our forms, and any calls, demos, or preview interactions you have with our AI voice receptionist technology (together, the "Service").

1. Acceptance of terms

By visiting the Site, submitting a form, requesting a demo, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, please do not use the Site or Service.

If you are using the Site or Service on behalf of a business, you represent that you have the authority to bind that business to these Terms, and "you" refers to both you individually and that business.

2. Our service

Right On Call builds bespoke AI voice receptionist services for home service, property management, professional and financial services, and other businesses. This Site is primarily informational and lead-generating: it describes our offering, lets you preview sample calls, request a live demo or a free missed-call audit, and join a waitlist for upcoming verticals.

The specific scope, pricing, service levels, and terms of an actual Right On Call deployment for your business (the "Engagement") are agreed separately in a signed order form, statement of work, or subscription agreement once you sign up. If there is a conflict between these Terms and a signed Engagement agreement, the Engagement agreement controls for matters it specifically addresses.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site or Service. The Site and Service are directed at businesses and business decision-makers, not consumers acting in a personal or household capacity, and are not directed at children.

4. Acceptable use

You agree not to, and not to permit others to:

  • Submit false, misleading, or fraudulent information through our forms (name, business, contact details, or otherwise);
  • Use the Site or any demo/preview call feature to harass, abuse, or attempt to extract information from our AI systems or staff in bad faith;
  • Attempt to probe, scan, or test the vulnerability of the Site or Service, or attempt to bypass any rate limiting, spam protection, or security measure;
  • Use any automated system (bot, scraper, crawler outside of standard search-engine indexing) to access the Site or submit forms;
  • Reverse engineer, decompile, or attempt to derive the underlying prompts, models, or source code behind our AI voice receptionist by interacting with demo calls or the Service;
  • Use the Site or Service to transmit unlawful, defamatory, obscene, or infringing content, or content that violates a third party's rights; or
  • Use the Service in any way that violates applicable law, including Canadian anti-spam (CASL), telemarketing, or do-not-call rules.

5. Your submissions and content

When you fill out a form (for example, to request a free missed-call audit, join a waitlist, or request a live demo call), you submit information such as your name, business name, phone number, email address, and industry ("Submissions"). If you request or take part in a live demo call, or once you become a customer and route calls through the Service, you may also generate call audio, transcripts, and related metadata ("Call Content"). Submissions and Call Content are collectively "User Content."

You represent that you have the right to submit your User Content, that it is accurate, and that it does not infringe or violate any third party's rights (including privacy rights of anyone else discussed on a call, such as a customer or tenant).

You grant Right On Call a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, and process your User Content solely to: respond to your inquiry, operate and provide the Service, train and tune the specific voice assistant configured for your business, monitor call quality, troubleshoot issues, and (in de-identified or aggregated form that cannot reasonably be used to identify you or your customers) improve our AI models and offerings generally. We do not sell your User Content, and we do not use identifiable Call Content from your customers to train models shared with other businesses. We may remove or decline to act on any Submission we reasonably believe is spam, fraudulent, abusive, or in violation of these Terms.

6. Call recording and consent

Sample calls on this Site are scripted previews, not recordings of real calls. If you request a live demo or otherwise speak with our AI voice receptionist (including as a customer, once onboarded), that call may be recorded, transcribed, and analyzed for quality assurance, training, troubleshooting, and service delivery. By participating in such a call, you consent to this recording.

Canadian federal law generally permits recording a call with the consent of at least one party to the call (Criminal Code, RSC 1985, c C-46, s 184(2)(a)). If you engage Right On Call to handle calls on behalf of your business, you are independently responsible for providing any additional notice or obtaining any additional consent required for your own callers under the laws that apply to your business and its customers (including any province, state, or country with stricter "two-party" or "all-party" consent rules, and any sector-specific rules, such as those governing health information). We can provide a standard call-recording disclosure for use in your greeting, but you are responsible for confirming it meets your obligations.

7. Intellectual property

The Site, including its text, graphics, logos, sample call scripts, and underlying software, is owned by Right On Call or our licensors and is protected by copyright, trademark, and other laws. Except for the limited right to view and use the Site for its intended purpose, nothing in these Terms grants you any license or right to our intellectual property, including the "Right On Call" name and logo.

8. Third-party services

We use third-party providers to operate the Site and Service, including Formspree (form submission handling) and Vercel (hosting and privacy-focused, cookieless web analytics). If you accept cookies through the banner on this Site, we also use Google Tag Manager to load Google Analytics (GA4), the Meta Pixel, and the LinkedIn Insight Tag for site analytics and ad measurement; see our Privacy Policy for details and how to opt out. Your use of the Site is also subject to those providers' own terms where applicable. We are not responsible for the practices of third-party sites we link to from our blog or elsewhere on the Site.

9. Disclaimers

The Site and the information on it are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Pricing, features, and sample call content described on this Site are for illustration and are subject to change without notice.

We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any AI-generated response (including on preview or demo calls) will be accurate or appropriate for every situation. AI voice systems can make mistakes; any Engagement will separately describe the service levels, escalation paths, and human oversight that apply to your production deployment.

10. Limitation of liability

To the fullest extent permitted by law, Right On Call and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or relating to your use of the Site or these Terms, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Site and these Terms will not exceed CAD $100. This limitation does not apply to liability that cannot be limited under applicable law, and does not limit liability arising from a signed Engagement agreement, which will state its own liability terms.

11. Indemnification

You agree to indemnify and hold Right On Call harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your misuse of the Site or Service, your User Content, or your violation of these Terms or applicable law.

12. Suspension and termination

We may suspend or restrict your access to the Site or any demo/preview feature at any time, without notice, if we reasonably believe you have violated these Terms or misused the Service. Termination of a paid Engagement is governed by the applicable Engagement agreement.

13. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.

14. Dispute resolution and arbitration

Please read this section carefully. It affects your legal rights and, for disputes it covers, requires resolution through individual binding arbitration rather than in court.

Informal resolution first. Before filing a claim, you agree to contact us at hello@rightoncall.com and give us 30 days to try to resolve the dispute informally.

Binding arbitration. If we can't resolve a dispute informally, any dispute arising out of or relating to these Terms or the Site (excluding Engagement agreements, which govern their own disputes) will be resolved by final, binding arbitration administered under the commercial arbitration rules of a recognized Canadian arbitration body, seated in London, Ontario, before a single arbitrator, conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. To the extent permitted by law, disputes must be brought on an individual basis only, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

Carve-outs. Either party may bring an individual action in small claims court, and either party may seek injunctive or other equitable relief in court to prevent misuse of intellectual property or unauthorized access to the Site pending arbitration.

Consumer protection savings clause. Nothing in this section is intended to, and this section does not, override any right you cannot waive under Ontario's Consumer Protection Act, 2002 or other applicable consumer protection law. If a court or arbitrator determines that this arbitration agreement or class action waiver is unenforceable as to a particular dispute or claim under such law, that dispute or claim (and only that dispute or claim) will instead be resolved exclusively in the courts located in London, Ontario, and both parties consent to the personal jurisdiction of those courts.

15. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

16. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with our Privacy Policy and any signed Engagement agreement, are the entire agreement between you and Right On Call regarding the Site.
